Branch or representative office structure can allow a Ukrainian company to expand into another city or foreign market while keeping operations connected to the existing corporate brand and management. Choice between a separate company, branch or representative office should consider permitted activities, control, taxation, financing and the requirements of the jurisdiction where the unit will operate.

Expansion through a separate subdivision may be useful when owners want to centralise financial flows and management rather than establish another independent legal entity.

Types of Separate Subdivision

Three forms are identified:

  • representative office;

  • branch;

  • production subdivision.

Branch

A branch is a separate subdivision without independent legal-entity status, located away from the parent company and performing all or part of its functions. Branch management acts within powers documented by the parent company, including powers of attorney where required.

Establishment of a Ukrainian company's branch abroad is treated as investment-related foreign economic activity and requires an individual licence.

Representative Office

A representative office primarily represents the parent company's interests, while a branch may perform a broader part of the parent company's functions. The exact scope should be defined in the internal regulations and authority granted to local management.

Operational rights, budget use, reporting, contracts and control mechanisms should be documented so that the subdivision does not act outside the powers intended by the parent company.

Foreign Expansion Considerations

International branches and representative offices require additional analysis of local registration, taxation, employment, banking and foreign-economic rules. The commercial model should also determine whether a subdivision remains efficient compared with incorporating a separate foreign company.

Tax and Management Structure

Taxation should be reviewed together with the legal form of the expansion. Centralised control may simplify management, but the company should understand how revenue, expenses, payroll and cross-border transactions will be recorded and taxed.

Functions and Authority of the Foreign Subdivision

A branch remains part of the Ukrainian parent company and operates without separate legal-entity status. Its management acts under documented authority granted by the parent company. Establishment of a branch abroad is treated as an investment-related foreign economic activity and refers to an individual licensing requirement for that activity.

A representative office differs mainly in its permitted functions. It is designed to represent and protect the interests of the parent company, promote the brand and perform the activities assigned to it, while a branch may perform all or part of the parent company's operational functions. The rights of management, budget use, reporting lines and control over transactions should therefore be defined before the subdivision starts operating.

Foreign expansion structure should be selected after comparing a branch, representative office and separate company against the actual functions planned abroad. Clear authority, tax treatment and management rules reduce implementation costs and help the parent company expand without losing control of its commercial operations.
