Decisions Reserved for General Meetings

Corporate, Commercial Law and Dispute Resolution · Corporate Law

General meeting authority defines which corporate decisions must be taken by shareholders or company participants rather than by day-to-day management. Clear allocation of reserved matters helps owners control major transactions, management changes, capital decisions and profit distribution.

General meeting is the principal owner-level governing body for major corporate decisions. Participants or shareholders use it to approve matters that determine the company's governance, finances and future development.

What Is a General Meeting?

A general meeting is a meeting of all company participants, interest holders or shareholders at which key matters relating to the company's activities are discussed and decided. Depending on the legal form, it may be referred to as a general meeting of participants for an LLC (Limited Liability Company) or a general meeting of shareholders for a JSC (Joint-Stock Company).

Main Decisions Adopted at General Meetings

Approval of Financial Statements

Participants review and approve the annual balance sheet, profit and loss statement and other financial documents.

Distribution of Profits and Losses

The meeting decides whether profits will be distributed as dividends, used to cover losses or reinvested.

Appointment and Removal of Governing Bodies

Resolutions may be adopted on the appointment of directors, supervisory board members, audit commission members and other governing bodies.

Amendments to the Company Charter

Amendments to the constitutional documents governing the company's activities are reviewed and approved.

Reorganisation or Liquidation of the Company

Resolutions may be adopted on termination of the company, merger, division or other forms of reorganisation.

Admission or Withdrawal of Participants

The meeting may approve the admission of new participants or the withdrawal of existing participants and determine the treatment of their interests.

Other Matters Provided by Law or the Charter

These may include approval of related-party transactions, changes to business activities and other corporate matters.

Why Is Participation in General Meetings Important?

Protection of Rights and Interests

Participation allows owners to influence the company's key decisions.

Access to Information About the Company's Activities

Participants can obtain reports, development plans and information about changes within the company.

Prevention of Conflicts and Misunderstandings

Transparent decision-making helps strengthen trust among business owners.

  • general meetings must be held in accordance with the applicable legislation and the company's charter;

  • notice of the meeting is provided to participants in advance together with the agenda;

  • resolutions are adopted by voting and recorded in the minutes;

  • where the rules are breached, resolutions may be challenged in court.

General meetings are a fundamental corporate governance instrument. They allow owners to adopt important resolutions, determine the company's development strategy and protect their interests. Understanding the relevant rights and obligations is essential for using this mechanism effectively.

Reserved corporate matters should be clearly reflected in the charter and meeting practice so that major decisions are taken by the correct governing body. Clear authority reduces internal disputes and makes implementation of corporate resolutions more predictable.
