Contractual obligation restructuring allows a business to revise payment, delivery, timing or other obligations when war, sanctions, logistics disruption, currency restrictions or major market changes make the original arrangement difficult to perform. UCCI materials may include force majeure certificates, opinions on material changes in circumstances and expert conclusions. Depending on the dispute, these documents can also become part of the evidence used in court or arbitration.
Cross-Border Contract Restructuring
Export, import, supply, agency, distribution, investment and long-term international agreements may require coordinated changes to payment, logistics, delivery and dispute provisions. International restructuring should therefore address the entire transaction rather than a single deadline.
Force Majeure and Material Change
Legal analysis should distinguish between circumstances that make performance impossible and those that materially change the commercial basis of the contract. Different facts may support force majeure, negotiated amendment, Article 652 remedies or termination.
Commercial and Arbitration Disputes
Restructuring can take place alongside a dispute. UCCI documents, contract correspondence and amendments should be prepared so that the company's position remains consistent if negotiations fail and the matter proceeds to court or international commercial arbitration.
Contract restructuring strategy should preserve profitable transactions where revised terms remain viable and document an orderly exit where they do not. Early renegotiation supported by clear evidence can reduce litigation costs and give both parties a more predictable commercial outcome.
