Supply agreement defines what goods a supplier must deliver, when delivery occurs, how the buyer pays and which documents confirm transfer. Before signature, the parties may also review counterparty information, delivery capacity, payment mechanics and any documents or permits required for the particular goods.
Quality, Warranty and Completeness
Quality is a separate contractual issue rather than part of the product description alone. The agreement can define applicable quality standards, a warranty period, the procedure for raising quality claims and the obligation to deliver all agreed components and accessories. These terms are particularly important where defects are discovered after acceptance or where replacement affects the buyer's production schedule.
